Please read these Terms of Service ("Terms") carefully before using the Green Route Hub website and platform. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Definitions
- "Platform" means the Green Route Hub logistics management software, including all modules, features, and APIs.
- "User" means any individual or entity that accesses or uses the Platform.
- "Customer" means a business that has entered into a subscription agreement with Green Route Hub.
- "Content" means all data, text, images, and materials uploaded or transmitted through the Platform.
2. Account Registration and Security
- - You must provide accurate, current, and complete information during registration.
- - You are responsible for maintaining the confidentiality of your account credentials.
- - You are responsible for all activities that occur under your account.
- - You must notify us immediately of any unauthorized use or security breach.
- - We reserve the right to suspend or terminate accounts that violate these Terms.
3. Use of the Platform
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal logistics operations.
3.1 Permitted Use
- - Manage shipments, warehouses, couriers, and delivery operations
- - Generate reports, manifests, and operational analytics
- - Integrate with approved third-party services via our API
- - Access the courier mobile application for delivery management
3.2 Prohibited Use
You agree not to:
- - Use the Platform for any illegal or unauthorized purpose
- - Reverse engineer, decompile, or attempt to extract source code
- - Interfere with or disrupt the integrity or performance of the Platform
- - Attempt to gain unauthorized access to any part of the Platform
- - Use the Platform to send spam, phishing, or malicious communications
- - Upload viruses, malware, or other harmful code
- - Resell, sublicense, or commercially exploit the Platform without authorization
- - Exceed the usage limits of your subscribed plan without upgrading
4. Subscription and Payment
- - Access to the Platform requires a valid subscription.
- - Fees are charged according to the plan selected (Starter, Professional, or Enterprise).
- - All fees are quoted in Saudi Riyals (SAR) and are exclusive of applicable taxes.
- - Subscriptions automatically renew unless cancelled before the renewal date.
- - We reserve the right to change pricing with 30 days' advance notice.
- - Refunds are provided at our discretion in accordance with applicable law.
5. Data and Content
- - You retain ownership of all Content you upload to the Platform.
- - You grant us a license to use, process, and store your Content solely to provide and improve our services.
- - You represent that you have the right to upload all Content and that it does not violate any third-party rights.
- - We may use aggregated, anonymized data for analytics and platform improvement.
6. Service Level Agreement (SLA)
We commit to a 99.9% uptime SLA for the Platform, excluding scheduled maintenance and events beyond our reasonable control. Specific SLA terms, including credits for downtime, are detailed in your Enterprise agreement or available upon request.
7. Intellectual Property
- - Green Route Hub and all related trademarks, logos, and software are our exclusive property.
- - You may not use our branding without prior written consent.
- - Feedback you provide may be used by us without obligation or compensation.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the business relationship. This obligation survives termination of these Terms.
9. Termination
- - You may terminate your subscription at any time by providing written notice.
- - We may suspend or terminate your access for violation of these Terms or non-payment.
- - Upon termination, your access to the Platform will cease. We will retain your data for a reasonable period as described in our Privacy Policy, after which it may be deleted.
10. Limitation of Liability
To the maximum extent permitted by law:
- - The Platform is provided "as is" without warranties of any kind, express or implied.
- - We are not liable for any indirect, incidental, special, consequential, or punitive damages.
- - Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
- - We are not responsible for delays or failures caused by events beyond our control (force majeure).
11. Indemnification
You agree to indemnify and hold harmless Green Route Hub and its affiliates from any claims, damages, or expenses arising from your use of the Platform, your Content, or your violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts in Riyadh, Saudi Arabia.
13. Modifications
We may modify these Terms at any time. We will notify you of material changes. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
